1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Qubicle Technologies Ltd, a company incorporated under the laws of Nigeria ("Qubicle", "we", "us", or "our").
By registering an account, subscribing to a plan, or requesting any service through the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy.
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity.

3. Platform Description
Qubicle is a subscription-based business services platform that provides professional services to entrepreneurs doing business in Africa. Qubicle directly undertakes service delivery, engaging vetted professional partners to fulfill service requirements on our behalf.
Qubicle's role includes: accepting service orders, managing service delivery, engaging and directing partners for fulfillment, holding client funds in escrow until completion, ensuring quality and timely delivery, and managing refunds where applicable. You contract with Qubicle for services, not with individual partners.
4. Eligibility & Account Registration
To use the Platform, you must:
- Be at least 18 years of age.
- Have the legal capacity to enter into binding contracts in your jurisdiction.
- Provide accurate, complete, and current information during registration.
- Maintain the security of your account credentials.
- Not be subject to any sanctions, embargoes, or restrictions that would prohibit use of our services.
You are responsible for all activity that occurs under your account. You agree to notify us immediately at security@onqubicle.com if you suspect any unauthorised access to or use of your account.
Qubicle reserves the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.
5. Subscription Tiers
Qubicle offers the following subscription tiers:

Subscriptions are billed monthly in advance. Subscription fees are non-refundable for the current billing period, except where required by applicable law. Subscriptions automatically renew unless cancelled at least 3 days before the renewal date.
Subscription ≠ Services. A subscription grants you access to the Platform, applicable discounts, and priority features. Individual services are priced separately and must be purchased as add-ons. No service is included "free" within any subscription tier.
6. Service Requests
When you submit a Service Order, you agree that:
- You have provided accurate and complete information in the service intake form.
- You will respond to information requests from Qubicle within the agreed timeframes. Failure to do so may delay or void the SLA.
- You are authorised to request the service on behalf of the business or individual named in the order.
- The service price quoted at order placement is binding, subject to any subsequent agreed amendments.
Qubicle reserves the right to decline any Service Order at its discretion, including for compliance, capacity, or policy reasons. Where a Service Order is declined after payment, a full refund will be issued within 5 business days.
SLA timelines begin from the date all required documents and information have been received by Qubicle. Delays caused by third parties (e.g., government agencies, banks) that are outside Qubicle's control do not constitute a breach of SLA.
7. Escrow & Payments
All service payments are processed through Qubicle's escrow mechanism:
- Payment Capture: On confirming a Service Order, you authorise Qubicle to charge the service fee to your selected payment method. Funds are held in a segregated escrow account.
- Execution: Qubicle engages the appropriate vetted Partner to fulfill the service on our behalf. Partners work under Qubicle's direction and receive payment from Qubicle upon verified delivery.
- Delivery & Approval: On completion, you receive the service output and have a 72-hour review window to approve delivery or raise a dispute.
- Fund Release: If no dispute is raised within 72 hours of delivery notification, Qubicle releases your service as complete. If you approve delivery earlier, the service is marked complete immediately.
Qubicle's service fees cover the full cost of service delivery, partner engagement, escrow management, quality assurance, SLA monitoring, and platform operations. All pricing is transparent and quoted upfront.
8. Cancellations & Refunds
8.1 Cancellation Before Execution Begins
If you cancel a Service Order before the Partner has commenced work, you are entitled to a full refund of the service fee, less any third-party costs already incurred (e.g., government filing fees paid on your behalf).
8.2 Cancellation After Execution Has Begun
If execution has commenced, cancellations are assessed on a case-by-case basis. A partial refund may be issued reflecting work not yet completed. Qubicle's determination shall be final, subject to the dispute process in Section 15.
8.3 Non-Delivery Refund
If a service is not delivered within the agreed SLA timeline (extended by any delay attributable to the User), and Qubicle is unable to resolve the matter within a further 7 business days, you are entitled to a 100% refund of the service fee, excluding third-party costs already disbursed.
8.4 Rejection of Delivery
If you believe the delivered service does not meet the agreed specifications, you must raise a dispute within the 72-hour review window. Qubicle will review the delivery against the service specification and applicable SLA. If the delivery is found non-compliant, the Partner will be required to remediate within a reasonable timeframe, or a partial or full refund will be issued.
8.5 Subscription Refunds
Monthly subscription fees are non-refundable for the current billing cycle. We do not offer pro-rated refunds for partial months.
9. Partner Network
Qubicle engages a network of vetted professional partners to fulfill services on our behalf. Our vetting process includes credential verification, professional membership checks, reference reviews, and trial assessments. However:
- Partners fulfill services under Qubicle's direction and are accountable to Qubicle, not directly to Users.
- Qubicle remains responsible for service delivery and quality, regardless of which partner fulfills the work.
- Qubicle does not guarantee the outcome of any government or regulatory process (e.g., CAC registration, bank account approval) as these are subject to third-party decisions outside our control.
Qubicle reserves the right to assign or reassign partners at any time without affecting your Service Order or SLA. You contract with Qubicle for services, not with individual partners.
10. Prohibited Activities
You agree not to use the Platform to:
- Register shell companies or entities intended for fraudulent, money laundering, or illicit purposes.
- Submit false, misleading, or forged documents in connection with any Service Order.
- Reverse-engineer, scrape, or copy any part of the Platform or its data.
- Use the Platform in violation of any applicable law, including Nigerian AML/CFT regulations.
- Engage in any activity that damages, disrupts, or impairs the Platform's infrastructure or other users' experience.
Violation of these prohibitions may result in immediate account termination, forfeiture of any funds in escrow pending investigation, and reporting to relevant Nigerian authorities.
11. Intellectual Property
The Qubicle brand, logo, Platform design, software, content, and methodologies are the exclusive intellectual property of Qubicle Technologies Ltd, protected under Nigerian and international intellectual property law.
You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for your internal business purposes in accordance with these Terms. You may not reproduce, redistribute, or create derivative works from any Platform content without prior written consent.
Service deliverables (e.g., incorporation certificates, drafted contracts) belong to the User upon full payment and delivery. Qubicle retains no ownership over service outputs delivered to Users.
12. Disclaimers & Limitation of Liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, QUBICLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Qubicle shall not be liable for:
- Delays or failures caused by government agencies, banks, or other third parties beyond our control.
- Loss of profits, revenues, data, or business opportunity arising from use of the Platform.
- Force majeure events including power outages, regulatory action, natural disasters, or telecommunications failures.
In all cases, Qubicle's total aggregate liability to any User shall not exceed the total fees paid by that User to Qubicle in the three (3) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Qubicle Technologies Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Platform in violation of these Terms.
- Your provision of false or misleading information in any Service Order.
- Your violation of any applicable law or third-party right.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
You consent to the exclusive jurisdiction of the courts of Nigeria for any disputes arising from or in connection with these Terms or your use of the Platform, subject to the arbitration provisions in Section 15.
15. Dispute Resolution
15.1 Internal Resolution
In the event of any dispute regarding a service delivery, we encourage you to contact our support team at support@onqubicle.com in the first instance. Qubicle will use reasonable efforts to resolve the dispute within 10 business days.
15.2 Arbitration
If internal resolution is unsuccessful, disputes shall be referred to and finally resolved by binding arbitration under the Lagos Court of Arbitration (LCA) Rules, with a sole arbitrator appointed by mutual agreement or, failing that, by the LCA. The seat of arbitration shall be Lagos, Nigeria. The language of arbitration shall be English.
15.3 Class Action Waiver
You agree to bring any dispute on an individual basis only. You waive any right to bring claims on a class, collective, or representative basis.
16. Modifications to Terms
Qubicle reserves the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page.
- Notify registered users by email at least 14 days before changes take effect.
- For significant changes, require users to re-accept the updated Terms on next login.
Continued use of the Platform after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Platform and may cancel your subscription.
